These Terms of Service ("Terms") govern your access to and use of the AgentSmith web application, APIs, and related services (the "Service") provided by AgentSmith ("AgentSmith", "we", "us", or "our"). AgentSmith is an AI voice- and chat-agent platform that helps businesses automate customer conversations, appointment scheduling, and support. By creating an account, connecting an integration, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is intended for businesses and users who are at least 16 years old and able to form a binding contract. You are responsible for the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
AgentSmith lets you configure AI agents that can place and handle phone calls and chats, answer customer questions, and schedule appointments. Functionality may depend on third-party services you choose to connect, such as telephony, speech, and AI providers, and integrations including Google Calendar, Calendly, Cal.com, Shopify, WooCommerce, and Zapier. We may add, change, or remove features from time to time.

You are solely responsible for the content and conduct of the AI agents you configure and for obtaining all consents and providing all disclosures required by law in the jurisdictions where you operate and where your customers are located.
When you connect a third-party account, you authorize us to access and use data from that service only to provide the features you enable, as described in our Privacy Policy. Your use of each third-party service is also governed by that provider's own terms and policies. We are not responsible for third-party services, and access may change or be discontinued by the provider.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms. You are responsible for having a lawful basis to process the personal information of your customers that flows through the Service, and for providing any required notices to them. We do not sell personal information and do not use connected-store or Google user data for advertising.
Paid features are billed according to the plan or usage you select. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and may change with notice for future billing periods. Usage-based charges (such as calls and AI processing) accrue as you use the Service. Failure to pay may result in suspension or termination.
The Service, including its software, design, and content, is owned by AgentSmith and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of the content and data you provide, and you grant us the rights necessary to operate and improve the Service and to provide the features you enable.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated responses may be inaccurate or incomplete; you are responsible for reviewing outputs and for how your agents are used. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, AgentSmith and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless AgentSmith from any claims, damages, liabilities, and expenses arising out of your use of the Service, your content or AI-agent activity, your violation of these Terms, or your violation of any law or third-party right, including consent and data-protection requirements.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or fail to pay fees. Upon termination, your right to use the Service ends; certain provisions that by their nature should survive will remain in effect.
We may modify the Service or these Terms from time to time. Material changes to these Terms will be indicated by updating the "Last updated" date above and, where appropriate, by additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws applicable at AgentSmith's principal place of business, without regard to conflict-of-laws rules. Disputes will be subject to the exclusive jurisdiction of the competent courts in that location, except where applicable law provides otherwise.
